Below are the terms and conditions by which EAC Ltd. offers its service.

Parties:

This agreement is between the following parties:

A: You, the customer. Any mention of “you”, “your”, “student”, “customer”, ”user” or “client” should be considered as equivalent;

And,

B: We at EAC. Any mention of “we”, “our”, “the company” or “EAC” are considered equivalent.

Terms and Conditions

By visiting the website and registering with a username and password, you hereby assent to the following terms and conditions:

1. Change the scope of this Agreement

EAC maintains the right to change its terms of service from time to time without the prior approval of our students, teachers or other stakeholders. These changes will be immediately reflected on our website.

2. Service overview

EAC provides one-on-one and group online English tutorials and consultancy to its students and customers.

3. Products

3.1 Free trial lesson

• If you cancel more than 24 hours before a scheduled individual or group lesson, you will maintain the credit for booking it again.

• If you cancel less than 24 hours prior to the class or fail to show up, you will lose the free lesson for that month.

3.2 Pay As You Go

• By sharing your Paypal or Credit Card details, you do not commit to a regular monthly subscription.

• You will instead be charged for each class booking you make.

• For individual classes, you select the time slot, the lesson topic, and the teacher of your choice.

• For group classes, the time slots, the lesson topics, and the teachers are preselected. You select the group class of your choice.

• Pricing will depend on the selected type of teacher.

• Each class is 25 minutes long.

• If you cancel a class, you will not be refunded your booking fee.

• If your teacher cancels or fails to show up to a class, we will do our best to automatically substitute them within 2 minutes with another teacher.If we are not able to provide you with a suitable substitute teacher, you will retain your lesson credit to be booked at a later time and date of your choosing.

3.3 Total Unlimited Subscription

• Bookings can be made beyond month end.

• You will be able to choose the time slot of your class as well as select the teacher of your choice.

• If you cancel more than 24 hours before a scheduled individual or group lesson, you can have the lesson again.

• If you cancel less than 24 hours before the specific lesson, you will be billed an additional payment equal to the lesson rate of your teacher.

• If you missed a lesson, you will be billed an additional payment equal to the lesson rate of your teacher.

• Subscribers will be billed automatically on a monthly basis. Subscribers will continue to be billed irrespective of the number of lessons used per month, until the subscription is terminated by the user.

• If a student cancels their subscriptions, they will be able to enjoy it for the remainder of the month which they have pre-paid.

• If the student wants to cancel their subscription but the next booking in the calendar is beyond the next payment date, then the student will still be billed for the next month.

Students can book unlimited lessons with multiple teachers. Students can book only two lessons with each teacher per day.

Teacher availability that you see is curated. Not all the availability of every teacher will always be visible at any given time.

You can only book lessons 7 days in advance.

As a student on an Unlimited Plan, you may incur penalties when you cancel or fail to show up to classes. Please settle the payments in order to proceed with your bookings.

When Unlimited students miss lessons, future bookings will be canceled by our system.

3.4 Money Back Guarantee

Purchase any of our courses or plans risk-free. If you are unhappy with your course or plan, please notify our language consultants at This email address is being protected from spambots. You need JavaScript enabled to view it. during your first week and we will refund you, minus any classes you have taken to date, which will be deducted at the Pay-As-You-Go rate. Refunds should take no longer than 7 working days.

4. Subscription

4.1 Subscription Upgrade Functionality

• Users can choose to upgrade their subscription plan at any time during their active current subscription.

• EAC will not credit the users for any difference in subscription plan.

4.2 Subscription Downgrade Functionality

• Users can downgrade their subscription at any point of their current subscription.

• However, the new subscription plan will only take effect when their current subscription expires.

• EAC will not credit users for any difference in subscription plan.

5. Lesson Formats

5.1 Individual Lessons

• Individual lessons will be hosted on either the EAC proprietary video conferencing platform if the student uses Google Chrome browser and a Desktop, or Zoom, a third party platform providing video and audio connectivity if the student uses any other browser or device.

• You can choose any of our lesson plans or have a lesson based around a topic of your choosing.

5.2 Group Lessons

• Individual lessons will be hosted on either the EAC proprietary video conferencing platform if the student uses Google Chrome browser and a Desktop or Zoom, a third party platform providing video and audio connectivity if the student uses any other browser or device.

• A maximum of 4 students will be allowed in any video conference.

• There are three levels, which you will be allocated to based on your level check score or self-selected level.

• The topics of each lesson will be assigned by the teachers.

6. Quality of service

EAC cannot guarantee that your English language capabilities will improve in a qualifiable manner from one lesson to the next and will not be held liable should improvements fail to be measured objectively by third-party testing organizations such as TOEFL, IELTS etc.

7. Refunds

Once you have purchased any of the available packages from EAC, you will not be entitled to any refunds or additional lessons, even if lessons are cut short by technical difficulties or unclear sound quality. Any requests for refunds or additional lessons will be evaluated on a case-by-case basis at the sole discretion of EAC’s management.

8. Teachers

Our teachers are contractors and are not employees of EAC Ltd.

We expect them to follow the strict application of our Privacy Policy (also attached to the website). However we are not ultimately responsible for what they do with any information you volunteer to give them in the course of the lessons with them.

Our teachers will be held directly liable should the tone or content of their communications with you be deemed offensive in any way. We hold no responsibility for this, although we will be sure to investigate and discipline the offender if necessary, including, but not limited to, suspending or terminating their contract with EAC or reporting their conduct to the relevant government authorities.

9. Account Security

You are responsible for saving and protecting your account details and password. EAC will not be held liable should someone enter your account and change your settings or use your lesson credits.

10. Equipment and Conditions

The following equipment is strongly recommended for you to maximize your experience as a student at EAC:

• Minimum of 3 megabytes per second download speed broadband internet connection

• Desktop / laptop / tablet

• Headset

• 5 Megapixel web camera

EAC does not bear any responsibility for the quality of your Internet connection, EAC’s video conferencing platform powered by Twilio or Zoom call quality and will not be able to reimburse students on this basis. Please communicate directly with Zoom or your Internet Service Provider if problems persist.

11. Teacher cancellation

We apologize for any instances of your teacher at EAC being late for a scheduled class or missing it completely. In the event that your teacher misses a scheduled class or turns up late, please inform us immediately at the following email address: This email address is being protected from spambots. You will not be charged for that lesson and we will investigate the incident and assure you that the teacher will be appropriately sanctioned for their misdemeanor.

From time to time, some teachers will cancel booked lessons in advance. You will be immediately notified of the cancellation and will be given the opportunity to re-book your lesson with another teacher of your choice. Your account will not be debited for the canceled lesson, and we will credit you with an extra free lesson to help make up for any inconvenience caused.

If you are not present for your lesson by 15 minutes after its scheduled start time, the class will be deemed cancelled and you will be charged in full.

12. Temporary interruption of service

EAC bears no liability for interruption or cancellation of services due to force majeure events such as floods, fires, uprisings etc. In the event that lessons are cancelled by EAC, your account will not be debited.

13. Credit expiry

The credit loaded onto your account will expire if it remains unused six months after purchase and will not be refunded to you. Therefore lesson credits do not accumulate from month-to-month

14. Stop service, revocation

EAC reserves the right to revoke your account and cancel all credits at any given time; however, this will only be enacted should EAC have just cause.

EAC reserves the right to refund students their money, net of their per-lesson fees at any time, for any reason.

14.1 One Person One Account

Only one person can use one account. If we suspect that multiple students are using the same account, we will immediately suspend the student account pending investigation.

14.2 Stop service for Unlimited Plans

Unlimited plans are only suitable for adults. Children will not be accepted on Unlimited plans. If unlimited plans are purchased by Children, then management will move the students to more suitable courses, for the equivalent value, net of the lessons they have already consumed.

EAC retains the right to remove students from courses, should they feel that they are not taking them seriously and wasting teaching time.

Examples of this type of behavior that will not be tolerated include students who are repeatedly late for classes, have consistently poor internet and hardware making teaching nearly impossible, consistently end classes early, or do not pay attention during classes. They are wasting their own time as well as that of their teachers. Consequences of such behaviour will be refunding of any payments made to EAC, net of consumed lesson costs calculated at Pay As You Go rates.

Other behaviour warranting account suspension that will not be tolerated from students will include the use of swear words, nudity, offensive comments in class about religion, gender, sexual orientation or ethnicity.

15. Disintermediation

EAC teachers are exclusively authorized to teach English with EAC. Should they solicit students to take private lessons apart from what is scheduled by EAC, or should they attempt to contact students outside of lesson hours, we would appreciate if students would immediately report them directly to This email address is being protected from spambots. If students begin to take classes with EAC teachers outside of EAC schedules, EAC reserves the right to cancel their accounts and all credits.

16. Intellectual Property

EAC’s brand and operations are wholly owned by EAC Ltd. All lesson plans, teaching materials and artwork on our website or within our teaching materials are proprietary and owned by EAC Ltd. and shall only be used by students and teachers for EAC -related activities. These materials shall not be sold, leased, licensed, used, copied or redacted for any other purpose than tuition of EAC students in the context of classes scheduled through EAC ‘swebsite. Any planned use of these materials for other purposes must be sanctioned in writing by EAC management. Legal action may be taken in the case of intellectual property infringement.

17. Jurisdiction

These terms of service are in compliance with Vietnam law. EAC Ltd. is a Vietnam corporation. Any disputes arising from these Terms & Conditions are subject to Vietnam law and the pertinent courts in that country.
